Acceptance of the Terms of Use

These terms of use are entered into by and between you and GenreX ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of the Platform and App (defined below), including any content, functionality, and services offered on or through  https://www.genrex.com/ (the "Website") or the GenreX generative AI-powered music creation service, whether accessed through the Platform or as a plug-in on a third-party Platform (the “App”), whether as a guest or a registered user. The Platform and App together are the “Platform.”

Please read the Terms of Use carefully before you start to use the Platform. By using the Platform, you accept and agree to be bound and abide by these Terms of Use and you acknowledge our Privacy Policy, found here. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Platform.

This Platform is offered and available to users who are 13 years of age or older. By using this Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform and App thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Platform.

Your continued use of the Platform following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Platform so you are aware of any changes, as they are binding on you.

Accessing the Platform and Account Security

We reserve the right to withdraw or amend this Platform, and any service or material we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Platform or the entire Platform.

You are responsible for both:

• Making all arrangements necessary for you to have access to the Platform.
• Ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and comply with them.

To access the Platform, App, or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Platform that all the information you provide on the Platform is correct, current, and complete. You agree that all information you provide to register with this Platform or otherwise, including, but not limited to, through the use of any interactive features on the Platform, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you log-out from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Description of Services

The Platform is used to create musical compositions using artificial intelligence (“AI”) to convert text descriptions of music into sound recordings. The Platform uses active inputs and tailor-made outputs powered by customized generative artificial intelligence solutions to provide customers with AI-driven music generation. The music output by the Platform is AI Generated Content. “AI Generated Content” means any iterative and derivative content, expression or output generated within the Platform by a generative artificial intelligence model, including generative models built via the use of machine learning algorithms and a neural network or similar system.

Fees & Features

The Platform’s features will vary according to the type of account and level of subscription that you have purchased. Both pricing and feature comparisons can be found at the following URL: <PLACEHOLDER URL>. By signing up for a paid subscription, you agree to pay the fees associated with that subscription level on a monthly basis, paid in advance. All fees are nonrefundable. You may cancel your subscription at any time and will retain access to the Platform until the end of your current billing cycle (defined as the 30-day period beginning on the day you purchased a subscription). We may change the fees and adjust subscription features at any time, but such changes will only take effect at the start of your next billing cycle.
